Andrew Grosvenor’s practice focuses on corporate matters, where he advises businesses and entrepreneurs on mergers and acquisitions, corporate governance, financing transactions, intellectual property, and a wide range of commercial and contractual issues.

Andrew brings more than a decade of experience counseling companies at all stages of growth, from formation and early structuring through complex transactions and liquidity events. His work includes advising on M&A transactions, venture and growth-stage financings, securities compliance, intellectual property protection and licensing, commercial contracts, employment matters, and commercial leases. He is known for a practical, business-minded approach.

Prior to joining Upton & Hatfield, Andrew practiced at a boutique law firm based in Northern New England, where he advised emerging companies, venture-backed businesses, investment funds, and corporate clients across a variety of industries, including representing publicly traded companies on governance, transactional, and securities compliance matters. Andrew began his legal career as an attorney with one of New Hampshire’s largest law firms.

Andrew earned his Juris Doctor, magna cum laude, from Vermont Law School, where he served as Technology Editor of the Vermont Law Review and received academic honors including highest grades in Evidence and Intellectual Property. He also holds a Master’s degree in Environmental Law & Policy, magna cum laude, from Vermont Law School, and a Bachelor of Science in Environmental Science from Trinity College. During law school, Andrew served as a judicial extern to Justice James P. Bassett of the New Hampshire Supreme Court.

Andrew is admitted to practice in New Hampshire and Vermont. He is committed to supporting the New England business community and enjoys working closely with founders, executives, and investors to help businesses grow thoughtfully and sustainably.

Outside of his legal practice, Andrew enjoys spending time outdoors, especially snowboarding, and is actively involved with the Concord Community Music School and the local music scene.
